1. Definitions

1. Empsing @Edge: Empsing @Edge refers to the proprietary cross-platform software (individual or enterprise releases) developed by Empsing, facilitating the seamless interaction of AI Digital Employees directly with the user’s device. Hereinafter “Application”.
2. AI Digital Employees: AI Digital Employees are sophisticated automated business process management systems provided by Empsing, capable of executing designated tasks, process automation, and inference-driven actions to enhance operational efficiency and productivity.
3. On-Device Usage: On-Device Usage encompasses the Application’s capability to access and utilize various resources of the user’s device, including but not limited to mouse, keyboard, screen, applications, files, clipboard, etc., to execute tasks and automate processes as expected by the user.

2. Data Usage and Privacy

1. Data Access: The Application requires access to diverse system resources on the user’s device to facilitate efficient task execution and process automation. This access includes but is not limited to, reading, modifying, and interacting with files, capturing screen content, and interfacing with installed applications.
2. Data Handling and Retention: The Application adheres to the principle of data minimization, ensuring that data accessed or processed is utilized solely for delivering the desired performance expected from a Digital Employee by Empsing. No data, in its original form, is transferred to third parties, and any copies retained are strictly for the duration necessary to complete the designated tasks or as mandated by legal or security imperatives.
3. Data Security Measures: The Application implements robust security measures to safeguard the confidentiality and integrity of user data. All data exchange between the application and Empsing servers is encrypted using industry-leading security protocols, both in transit and at rest. Additionally, the Application employs multi-factor authentication and stringent access controls to prevent unauthorized access or breaches.

3. User Responsibilities

• Grant of Device Access: By installing the Application, the user grants explicit permission for the application to access and utilize system resources on their device as required to execute designated actions deemed appropriate by the Empsing Platform (or Digital Employees). The user is responsible for ensuring that the device remains accessible and operational during such execution.
• Sensitive Data Handling: The user acknowledges their responsibility to exercise due diligence and caution when assigning tasks involving sensitive or confidential data to AI Digital Employees through the Application. Empsing disclaims liability for any unauthorized access or misuse of sensitive data resulting from user actions or negligence.
• Non-Disclosure and Confidentiality: You understand and agree that any information accessed or processed by Empsing’s AI Digital Employees or supporting systems may include proprietary, confidential, or sensitive data belonging to your organization. You undertake to ensure the confidentiality of such information and acknowledge that Empsing shall not be held liable for any unauthorized disclosure or misuse of confidential data resulting from your actions or negligence.

4. Limitation of Liability

1. The user agrees to indemnify, defend, and hold harmless Empsing, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, or expenses arising from their use or misuse of the Application, including but not limited to claims related to data breaches, unauthorized access, or misuse of data.
2. In no event shall Empsing be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Application, even if Empsing has been advised of the possibility of such damages. The user acknowledges and agrees that their use of the Application is at their own risk.
3. Empsing shall not be liable for any claims arising out of device errors, data loss, outages, interruptions in service, or any other issues related to the use of the Application. It is your responsibility to maintain backup copies of your data and to take appropriate measures to mitigate any potential risks associated with device errors or failures.

5. Compliance with Regulations

1. The user agrees to comply with all applicable laws, regulations, and guidelines governing the use of the Application, including but not limited to data protection statutes, privacy regulations, and intellectual property rights. Empsing disclaims any liability arising from the user’s failure to comply with such regulations.

6. Amendments and Updates

1. Empsing reserves the unbridled right to modify or update these terms at its sole discretion and without prior notice. It is the user’s responsibility to regularly review these terms for any amendments or revisions. Continued use of the Application after such modifications constitutes unequivocal acceptance of the revised terms.
