Purchasing & Refund Terms

Thank you for considering Empsing’s AI Digital Employee Subscription. These Terms & Conditions (“Purchasing Terms”) govern your access to and use of our Digital Employee Service (“Service”). By purchasing a Digital Employee, you agree to be bound by these Purchasing Terms.

1. Definitions

  1. Digital Employee (hereinafter “DE”): An AI-Augmented Business Process Management System (ABPMS) that is typically helpful in streamlining operations, optimizing processes, and fostering collaboration within organizations.
  2. Subscription Period: The duration of access purchased, set at a one month (30 days) interval.

2. Purchasing

  1. Premium Plan: Our standard subscription plan that offers access to advanced capabilities, as detailed on our website.
  2. Initial Purchase: During your first DE purchase, you will provide your billing information and establish a subscription relationship. Subsequent DE purchases will automatically add to this existing subscription and be billed on a pro-rata basis for the remaining Subscription Period.
  3. Billing Information & Subscription Creation: Billing is securely handled through our PCI/DSS compliant portal integrated with Stripe, providing access to invoices and payment details.
  4. Payment: Subscriptions are invoiced in advance for each Subscription Period through Stripe, with major card and banking transactions accepted.

3. Delivery & Activation

  1. Instant Access: DEs are accessible immediately upon purchase without further confirmation.
  2. Training: Extensive resources on our documentation portal include tutorials, FAQs, and knowledge-base articles.

4. Refunds

  1. Refunds are issued under specific circumstances:
    • Non-allocation or non-functionality of a Digital Employee after payment deduction.
    • Inadvertent purchase errors provided the DE remains unused.
    • Refunds under special schemes (e.g., 30-day money-back guarantee) are subject to pre-agreement.
  2. All refund claims are evaluated on a case-by-case basis at the sole discretion of the Empsing management.

5. Term & Termination

  1. Cancellation Period: Subscriptions can be cancelled at any time before the next billing date.
  2. Termination for Cause: Empsing reserves the right to terminate your subscription for cause, such as a violation of our Terms of Service. In such cases, your access to the DE(s) will be terminated immediately, without a prorated refund.

6. Disclaimer

  1. The DE is provided “as is” with the standard functionalities outlined on our website. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PERFORMANCE OR SUITABILITY OF THE DE FOR ANY PARTICULAR PURPOSE. We strive to ensure the accuracy of the information provided by the DE, but it should not be taken as a substitute for human judgment or professional expertise.

7. Limitation of Liability

  1. We disclaim liability for any indirect, incidental, consequential, or punitive damages arising from DE usage.

8. Additional Covenants

  1. These terms are governed by the laws of the United Kingdom, with disputes subject to the exclusive jurisdiction of courts in London, United Kingdom.
  2. These Purchasing Terms constitute the entire agreement between you and Empsing regarding your Digital Employee Subscription and supersede all prior or contemporaneous communications and proposals, whether oral or written.
  3. We reserve the right to modify these Purchasing Terms at any time. We will notify you of any material changes by posting the revised Terms on our website. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the revised Terms.
  4. If any provision of these Purchasing Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
  5. Our failure to enforce any right or provision of these Purchasing Terms will not be deemed a waiver of such right or provision.
